1. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use Covexa. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

2. Account Registration and Security

• You must provide accurate, current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately at support@covexaapp.com of any unauthorized use of your account.

3. Description of Service

Covexa allows users to build a materials/pricing database, define custom calculation formulas, generate BOQs from measurements, and convert BOQs into quotations and invoices. Features, availability, and pricing may change over time, and we will make reasonable efforts to notify users of material changes.

4. Subscription and Payment

• Access to Covexa is provided on a recurring subscription basis at the price displayed at checkout.
• Subscriptions renew automatically each billing cycle unless cancelled before the renewal date.
• Payments are processed by a third-party payment processor (e.g. Razorpay). We do not store your card or bank details.
• All fees are exclusive of applicable taxes (including GST, where applicable) unless stated otherwise.

Refunds: the 3-day free trial exists precisely so you can evaluate Covexa before paying. Once a subscription payment is made, it is non-refundable for that billing period, except where required by applicable law or at our discretion in cases of a verified technical fault preventing use of the Service. To cancel future billing, cancel any time before your next renewal date — you retain access until the end of the period already paid for.

You may self-serve cancel your subscription at any time from your account's billing page — no need to contact support to cancel.

We may suspend or downgrade access if payment fails and is not resolved within a reasonable period after notice.

5. User Content and Data Accuracy

You retain ownership of the material prices, formulas, measurements, project data, and other content you input into Covexa ("User Content"). You grant us a limited license to store, process, and display User Content solely to operate and improve the Service.

Covexa performs calculations based on data and formulas you or your organization provide or configure. You are solely responsible for verifying the accuracy of prices, quantities, formulas, and any BOQ, quotation, or invoice generated before relying on it or sharing it with a third party. Covexa is a calculation and drafting tool, not a substitute for professional estimation, engineering, or accounting judgment.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to defraud any person.
• Attempt to gain unauthorized access to Covexa's systems, other users' accounts, or data.
• Reverse-engineer, scrape, or resell the Service without our written permission.
• Upload malicious code, files, or content that infringes the rights of any third party.

7. Intellectual Property

Covexa, its software, design, and branding are the property of Covexa and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.

8. Third-Party Services

Covexa relies on third-party providers for hosting, database, authentication, and payment processing. We are not responsible for outages or issues caused solely by these third-party providers, though we will make reasonable efforts to maintain service continuity.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to accuracy, fitness for a particular purpose, or uninterrupted availability.

10. Limitation of Liability

To the maximum extent permitted by law, Covexa shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the three (3) months preceding the claim.

11. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for breach of these Terms, non-payment, or misuse of the Service. Upon termination, your right to access the Service ends, though we will handle any retained data as described in our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
